1. Acceptance of Terms

By accessing or using the 1766 Labs platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service. These terms constitute a legally binding agreement between you and 1766 Labs.

2. Eligibility

To use the Service, you must:

Be at least 18 years of age.
Be a Rutgers University alumnus/alumna, current student, or faculty member, or be invited by an existing network member.
Provide accurate and complete registration information.
Comply with all applicable laws and regulations regarding investment activities.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these terms.

4. Network Membership

Membership in the 1766 Labs network is subject to approval. We reserve the right to:

Accept or reject applications at our sole discretion.
Revoke membership for violation of these terms or community guidelines.
Modify membership benefits, features, or structure at any time.

5. Investment Disclaimer

Important: 1766 Labs is not a registered broker-dealer, investment adviser, or funding portal.

The platform facilitates introductions and connections only. It does not provide investment advice.
All investment decisions are made solely between the parties involved.
Angel investing involves significant risk, including the potential loss of your entire investment.
You should consult qualified legal, financial, and tax advisors before making any investment.
Past performance of any startup or investor is not indicative of future results.
1766 Labs does not guarantee the accuracy of information provided by founders or investors.

6. User Conduct

You agree not to:

Provide false or misleading information in your profile or communications.
Use the platform for fraudulent or illegal purposes.
Share confidential deal flow or member information outside the network without consent.
Harass, spam, or otherwise disrupt other network members.
Attempt to circumvent security measures or access unauthorized data.
Violate any applicable securities laws or regulations.

7. Intellectual Property

All content, features, and functionality of the Service are owned by 1766 Labs and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express permission.

8. Limitation of Liability

To the maximum extent permitted by law, 1766 Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or investment losses, arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless 1766 Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these terms.

10. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Service after changes constitutes acceptance of the modified terms.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of New Jersey.
